Acceptance of Framework

By initializing an account, subscribing to our service, or deploying the Prompt Optimizer infrastructure (including Cloud Edition, MCP Server, or NPM packages), you enter into a binding legal agreement.

These terms govern your access to our deterministic optimization ecosystem and apply to all users, automated agents, and API consumers.

Architecture Modules

Cloud Infrastructure:

Secure FastAPI backend with real-time semantic streaming

Multi-tenant template isolation with RSA-4096 signature verification

Context Engineer Studio for SOP synthesized from raw documentation

MCP Local SDK:

Binary distribution via NPM for 100% on-device execution

High-performance local rule-set (50+ deterministic patterns)

Compatible with industry-standard MCP hosts (Claude, Cursor, Windsurf)

Both modules share the core optimization engine logic but differ in data residency and collaboration capabilities.

Licensing & Usage

Perpetual Local License:

Local Edition purchases grant a non-exclusive, perpetual license for specific machine activations. Licenses are immutable and tied to the primary hardware ID.

Cloud Subscription:

Cloud access is granted on a recurring monthly basis. Quotas reset at the start of each billing cycle and do not roll over. Unauthorized sharing of API keys constitutes a breach of service.

Rate Implementation:

We enforce strict rate limits to ensure infrastructure stability. Excessive automated hammering of API endpoints may result in temporary circuit-breaker activation.

Intellectual Property Policy

User Sovereignty:

You retain 100% intellectual property rights to your input prompts and optimized outputs. We do not claim ownership of your proprietary linguistic patterns.

Engine Protection:

The Prompt Optimizer logic, optimization patterns, and binary code are proprietary trade secrets. Reverse engineering, decompilation, or unauthorized scraping of optimization rules is strictly prohibited.

Transparency Labeling:

In compliance with the EU AI Act, we provide machine-readable metadata for all generated content. You agree not to strip or obscure these identifiers in production environments.

Compliance & Data Governance

Regulatory Alignment:

Our infrastructure is architected for GDPR, CCPA, and DPDP Act compliance. We provide granular data residency options for enterprise tenants.

SLA & Reliability:

Cloud services target 99.9% availability. Local SDK availability is dependent on your host hardware. We are not liable for downtime caused by upstream LLM providers (OpenAI, Anthropic, etc.).

Dispute Resolution:

Any technical or legal disputes arising from these terms shall be resolved through binding arbitration in the primary jurisdiction of operation.
